Terms of Business

1. Introduction
These Terms of Business (“Terms”) govern the relationship between Dion International Ltd (“we”, “us”, “our”) and the client (“you”, “your”). By engaging our services, you confirm that you have read, understood and agree to be bound by these Terms. These Terms should be read alongside our Service-specific Terms & Conditions, Letter of Engagement, Cancellation Policy and Privacy Policy. Together, these documents form the entire agreement between the parties.

2. Services
We provide professional personal protection, corporate security, investigative and surveillance services. The scope of services will be agreed in writing prior to commencement and confirmed within your Letter of Engagement.

3. Fees & Payment
Fees are detailed in your proposal, Letter of Engagement or invoice. Payment is due immediately upon receipt unless agreed otherwise in writing. We reserve the right to require payment in advance. Late payments may incur interest at the statutory rate. We reserve the right to suspend or terminate services where payment is overdue.

4. Confidentiality
Both parties agree to keep confidential all non-public, proprietary or sensitive information disclosed during the engagement. Due to the nature of our services, strict discretion is maintained at all times. This obligation survives termination of the agreement.

5. Limitation of Liability
Our total liability is limited to the total fees paid by you for the specific service giving rise to the claim. We shall not be liable for indirect or consequential losses, loss of profit, reputational damage or third-party actions. We take reasonable precautions to ensure safety and professionalism but cannot guarantee outcomes or absolute protection.

6. Client Responsibilities
You agree to provide accurate and complete information, disclose any material facts relevant to the engagement, comply with all applicable laws and use our services lawfully. We reserve the right to refuse or terminate services if instructions are unlawful, ethical concerns arise or our personnel are placed at risk.

7. Termination
Either party may terminate the agreement with 30 days’ written notice. Upon termination, all outstanding fees become immediately payable and you remain liable for services performed up to termination. We may terminate immediately where these Terms are breached, payment defaults occur or client conduct places our staff at risk.

8. Cancellation
Cancellations are governed by our Cancellation Policy available on our website. This policy forms part of these Terms.

9. Governing Law
These Terms are governed by the laws of Scotland. All disputes shall be subject to the exclusive jurisdiction of the Scottish courts.

10. Amendments
We may update these Terms from time to time. The most current version published on our website will apply.

11. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control including natural disasters, acts of war, industrial action, pandemics or government restrictions. Affected parties shall notify the other as soon as reasonably possible.

12. Indemnity
You agree to indemnify and hold harmless Dion International Ltd, its directors, employees and contractors from any claims, damages, losses or legal costs arising from your instructions, breach of these Terms or unlawful use of our services.

13. Dispute Resolution
Parties agree to attempt good faith negotiation before pursuing legal proceedings. Where unresolved, disputes may proceed to mediation before court action.

14. Subcontracting
We reserve the right to subcontract elements of services where required. We remain responsible for service delivery standards.

15. Non-Solicitation
You agree not to solicit, employ or engage any Dion International Ltd staff or contractors for 18 months following termination without written consent.

16. Insurance
We maintain appropriate professional and public liability insurance. Clients agree to maintain any relevant insurance required for the engagement. Proof of insurance may be requested.

17. Data Protection
Both parties agree to comply with all applicable data protection laws including GDPR. Personal data is processed in accordance with our Privacy Policy.
