1. Introduction
These Terms of Business outline the agreement between Dion International Ltd (“we,” “us,” or “our”) and the client (“you” or “your”). By engaging our services, you agree to be bound by these terms.
2. Services
We provide professional personal and corporate executive security services.
3. Fees & Payment
Fees are outlined in our proposal or invoice and must be paid upon receipt unless otherwise agreed.
Late payments will incur interest at the prevailing bank interest rate.
We reserve the right to suspend services if payments are not received on time.
4. Confidentiality
Both parties agree to keep confidential any proprietary and sensitive information shared during the course of the business relationship. Due to the nature of our services, discretion and confidentiality are paramount.
5. Liability
Our liability for any loss or damage arising from our services is limited to the amount paid by you for the specific service.
We are not responsible for any indirect, consequential, or reputational losses.
While we take all reasonable measures to ensure safety and security, we cannot guarantee absolute protection against unforeseen risks.
6. Client Responsibilities
Clients must provide accurate and complete information to enable us to deliver our services effectively.
Clients must comply with all applicable laws and regulations when engaging our services.
We reserve the right to refuse service if we believe the request is unlawful or unethical.
7. Termination
Either party may terminate the agreement with 30 days’ written notice.
If terminated early, you are responsible for payment of all services rendered up to the termination date.
We reserve the right to terminate services immediately if there is a breach of these terms or if client conduct endangers our personnel.
8. Governing Law
These terms are governed by the laws of Scotland, and any disputes shall be resolved in the appropriate courts within this jurisdiction.
9. Amendments
We reserve the right to update these terms from time to time. Clients will be notified of any significant changes.
10. Force Majeure
Neither party shall be held liable for any failure or delay in performance of its obligations under this agreement due to events beyond its reasonable control, including but not limited to natural disasters, war, strikes, pandemics, or government restrictions (“Force Majeure”). In the event of a Force Majeure, the affected party shall promptly notify the other party and make reasonable efforts to resume performance as soon as possible.
11. Indemnity
The client agrees to indemnify and hold harmless Dion International Ltd, its officers, employees, and agents, from any claims, damages, or liabilities arising from the client’s use of our services or any breach of this agreement by the client.
12. Dispute Resolution
In the event of a dispute arising from or relating to this agreement, both parties agree to attempt to resolve the matter through good faith negotiation. If a resolution is not reached, the dispute shall be resolved through mediation before a mutually agreed-upon mediator.
14. Subcontracting
We reserve the right to subcontract any part of the services provided, as necessary, to third-party contractors. However, we remain fully responsible for the quality and delivery of the services.
15. Non-Solicitation/Non-Compete
The client agrees not to solicit, hire, or engage any employees or contractors of Dion International Ltd for a period of 18 months following the termination of this agreement, without prior written consent.
16. Insurance
Both parties agree to maintain appropriate insurance coverage for the duration of this agreement. Dion International Ltd holds all essential insurance to perform our duties, and the client agrees to provide proof of any relevant insurance required for the services being performed.
17. Data Protection/Privacy
Both parties agree to comply with all applicable data protection and privacy laws, including GDPR, to protect any personal data shared during the course of this agreement. The client acknowledges that any personal data provided will be processed in accordance with our privacy policy.
